Reorganization of ProSiebenSat.1's Supervisory Board overseen by MFE
In an anticipated move, PPF Group has proposed Christoph Mainusch for election as a member of ProSiebenSat.1's Supervisory Board at the Annual General Meeting (AGM) on April 30, 2024. This proposal comes after MFE-MediaForEurope acquired a 75.61% stake in ProSiebenSat.1, leading to the departure of current members, including Mainusch and Klára Brachtlová.
Brachtlová, representing the Czech investment group PPF, has been part of the Supervisory Board since 2020, while Mainusch joined in 2024. Both are leaving due to MFE's recent acquisition of ProSiebenSat.1 shares.
Mainusch, an independent member of ProSiebenSat.1's Supervisory Board, brings nearly four decades of experience to the table. Brachtlová's departure was first announced in 2023, with the name of the person proposed by PPF as a candidate for the supervisory board in 2024 being Klara Brachtlova.
ProSiebenSat.1 intends to appoint two new members to its Supervisory Board shortly. However, the Executive Board and the Supervisory Board of ProSiebenSat.1 have concluded that MFE's takeover offer is not acceptable following a review of the offer document dated May 8, 2025. The governing bodies of ProSiebenSat.1 have recommended shareholders not to accept MFE-MediaForEurope's takeover offer.
The reshuffling of ProSiebenSat.1's Supervisory Board marks a key early step in MFE's plan to consolidate influence and integrate the broadcaster into its wider European media group. Maria Kyriacou, Chairwoman of the Supervisory Board, thanked the departing members for their contributions to the company's digital transformation.
It is important to note that ProSiebenSat.1 shareholders previously rejected a proposed split-up at the AGM. The developments in the Supervisory Board are a significant indication of the ongoing changes within the company.
