Venture Firm 54 Collective Provisionally Liquidated Over $106.5M Grant Mismanagement
A South African High Court has provisionally liquidated the venture firm 54 Collective, formerly known as Africa Founders Ventures (AFV), due to serious financial misconduct involving a $106.5 million grant from the Mastercard Foundation.
The liquidation follows a forensic audit that revealed misuse of restricted grant funds, unauthorized financial transfers, and efforts to shield assets from repayment. One controversial transfer involved a $4.59 million transfer from the nonprofit arm of AFV, Africa Founders Ventures, to its for-profit sister entity.
The Mastercard Foundation accused 54 Collective of mishandling over $42 million disbursed between 2023 and 2024, with no audited financial statements for those years and more than 2,000 backdated journal entries falsifying financial records. The audit also discovered that restricted charitable funds were wrongly used to finance a rebranding to “54 Collective,” which the foundation had explicitly opposed.
Legal action led to the freezing of multiple bank accounts across Nedbank, Standard Bank, and Investec. The court also ordered Business Rescue Practitioner Barry Urban to personally pay the foundation's legal fees for mishandling the case.
The liquidation aims to recover misappropriated funds and assess available assets, but reputational damage and investor confidence impact are significant. The organization has not contested the liquidation ruling, attributing its failure to insolvency rather than admitting intentional fraud.
